These Terms and Conditions ("Terms") govern your access to and use of the NexeraHR website, applications, and related services (collectively, the "Services") provided by [Insert Legal Company Name] ("NexeraHR," "we," "us," or "our").

If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.
1. Eligibility
You may use the Services only if: you are legally capable of entering into a binding contract; your use of the Services does not violate any applicable law; and any registration information you submit is accurate and kept up to date. If you create an account for an organization, you are responsible for ensuring that only authorized persons use that account.
2. The Services
NexeraHR is a hiring and HR technology platform that may include features such as:
- user authentication and account management,
- onboarding and tenant setup,
- job posting and career page hosting,
- applicant tracking and workflow management,
- resume upload and parsing, ATS scoring and reporting,
- assessments and scoring,
- AI voice interviews, transcripts, and analysis,
- surveys, role-based team access, notifications, analytics,
- billing and subscription management,
- integrations with third-party providers.
We may modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.
3. Accounts and Access
To use certain features, you may need to create an account. You agree to: provide accurate and complete information; keep login credentials confidential; promptly notify us of unauthorized access or suspected security incidents; and be responsible for activities that occur under your account or within your organization's workspace, except to the extent caused by our breach. We may offer login by credentials, Google, magic link, multi-factor authentication, and similar methods. You are responsible for maintaining the security of your devices, email accounts, and authentication methods.
4. Organization Accounts, Tenants, and Administrators
NexeraHR supports multi-tenant workspaces for companies and organizations. The entity that creates or controls a tenant account is responsible for: all activity within that tenant; assigning roles and permissions appropriately; ensuring that only authorized personnel access candidate and company data; ensuring lawful collection and use of personal data; and complying with employment, labor, anti-discrimination, privacy, and AI-related laws applicable to its use of the Services. Administrators may manage users, roles, jobs, applications, interviews, assessments, surveys, settings, and billing within their tenant.
5. Customer Responsibilities
If you are an employer, recruiter, company administrator, or other organization user, you are solely responsible for: the content you upload or submit; the legality of your hiring workflows and decisions; ensuring you have all required notices, consents, and lawful bases for processing candidate data; ensuring job postings and application practices comply with applicable law; reviewing AI-generated outputs before acting on them; keeping your organization's data accurate and up to date; and maintaining internal access controls and confidentiality. You must not use the Services to make unlawful, discriminatory, or unfair employment decisions.
6. Candidate Use of the Services
If you are a candidate using NexeraHR to browse jobs, submit applications, upload a resume, complete an assessment, participate in an interview, or respond to a survey: you agree to provide truthful and accurate information; you are responsible for content you submit; you acknowledge that the employer using NexeraHR, not NexeraHR, typically decides whether and how to evaluate your candidacy; and you understand that completing an assessment or interview does not guarantee employment or further consideration. Certain candidate flows may be token-based and may not require a traditional login. You are responsible for protecting any private link or token sent to you.
7. Acceptable Use
You may not, and may not permit others to:
- use the Services for unlawful, fraudulent, deceptive, or harmful purposes,
- interfere with or disrupt the integrity or performance of the Services,
- attempt to gain unauthorized access to systems, accounts, or data,
- bypass authentication, rate limits, or access controls,
- reverse engineer, decompile, or attempt to extract source code, except where prohibited by law,
- upload malware, malicious code, or harmful content,
- scrape, harvest, or bulk export data except through authorized functionality,
- use the Services to infringe intellectual property, privacy, publicity, or other rights,
- submit knowingly false job postings or fraudulent applications,
- use the Services to develop or benchmark a competing product without our written permission,
- use AI features in a way that violates law or creates prohibited bias or discrimination.
We may investigate violations and suspend or terminate access for misuse.
8. User Content
"User Content" means content submitted, uploaded, generated, or transmitted through the Services by you or on your behalf, including: job descriptions, branding assets, resumes, candidate profiles, applications, answers, surveys, interview-related content, internal notes, and files and documents. You retain ownership of your User Content, subject to the rights you grant under these Terms. You grant NexeraHR a non-exclusive, worldwide, limited right to host, store, copy, process, transmit, display, and otherwise use User Content as necessary to provide and maintain the Services, improve functionality, secure the platform, perform support and troubleshooting, comply with law, and generate requested outputs and workflow actions. You represent and warrant that you have all rights necessary to submit and use User Content in connection with the Services.
9. AI Features and Outputs
The Services may include AI-assisted features, including for job description generation, resume parsing, ATS scoring, assessment creation and scoring, and interview transcription and analysis. AI-generated or automated outputs may be incomplete, inaccurate, biased, or unsuitable for a particular purpose. You are solely responsible for: reviewing outputs before relying on them; validating results; making final employment or business decisions; and complying with applicable AI, employment, privacy, and anti-discrimination laws. NexeraHR does not guarantee that AI outputs are error-free, legally compliant, or suitable as the sole basis for decisions. You must not use the Services in a way that violates any law governing automated decision-making or employment practices.
10. Privacy and Data Processing
Your use of the Services is also governed by our Privacy Policy. Where NexeraHR processes personal data on behalf of an employer or other customer, that customer is generally responsible for ensuring it has a lawful basis to collect and use the data and for providing required notices to candidates, employees, and other individuals. If required by law or enterprise agreement, the parties may enter into a separate data processing agreement.
11. Third-Party Services
The Services may depend on or integrate with third-party services, including providers for authentication, payment processing, cloud hosting and storage, real-time messaging, AI processing, voice interview technology, email delivery, and analytics and infrastructure. These third-party services are subject to their own terms and privacy policies. NexeraHR is not responsible for third-party products or services except as required by law.
12. Fees, Billing, and Subscriptions
Certain parts of the Services require payment. If you purchase a paid plan: you agree to pay all applicable fees, taxes, and charges; subscriptions may renew automatically unless canceled; billing may be handled through a third-party payment processor such as Stripe; and plan features, limits, and pricing may vary. If payment is unsuccessful, delinquent, reversed, or disputed, we may suspend or restrict access to paid features. Unless otherwise required by law or expressly stated, fees are non-refundable. We may change pricing or plan structure from time to time. If required, we will provide notice before material pricing changes take effect for future billing cycles.
13. Trials and Promotional Access
We may offer trials, credits, or promotional access at our discretion. We may modify or terminate such offers at any time, subject to applicable law. At the end of a trial, your subscription may convert to a paid plan if stated at the time of signup or purchase.
14. Intellectual Property
The Services, including software, interfaces, workflows, design, branding, text, graphics, and underlying technology, are owned by NexeraHR or its licensors and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not use NexeraHR's name, trademarks, logos, or branding without prior written permission, except as necessary to truthfully identify NexeraHR as your service provider.
15. Feedback
If you provide ideas, suggestions, or feedback regarding the Services, you grant NexeraHR a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use and exploit that feedback for any lawful purpose without compensation to you.
16. Confidentiality
If you receive non-public information relating to NexeraHR or other users through the Services, you must keep it confidential and use it only as necessary for authorized use of the Services. Employer customers are responsible for ensuring their team members maintain the confidentiality of candidate and company information.
17. Availability and Support
We strive to keep the Services available and functional, but we do not guarantee uninterrupted or error-free operation. The Services may be unavailable due to maintenance, updates, outages, third-party failures, security events, or other causes beyond our reasonable control. Any support commitments, uptime commitments, or service levels apply only if expressly stated in a separate written agreement.
18. Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, if: you violate these Terms; your use creates legal, security, or operational risk; payment is overdue; required by law; a third-party provider reasonably requires action; or we detect fraud, abuse, or unauthorized activity. You may stop using the Services at any time. If you are a paid customer, cancellation will typically take effect at the end of the current billing period unless otherwise stated. Sections that by their nature should survive termination will survive, including provisions regarding intellectual property, fees owed, disclaimers, limitations of liability, indemnity, and dispute terms.
19. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available."
NexeraHR disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. Without limiting the foregoing, NexeraHR does not warrant that: the Services will be uninterrupted, timely, secure, or error-free; data loss will not occur; AI outputs or analyses will be accurate, complete, fair, or compliant; or the Services will meet your specific business, hiring, or regulatory requirements.
20. Limitation of Liability
To the maximum extent permitted by law, NexeraHR and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunities, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of NexeraHR for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (1) the amount you paid to NexeraHR for the Services in the twelve (12) months before the event giving rise to the claim, or (2) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
21. Indemnification
You agree to defend, indemnify, and hold harmless NexeraHR and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to: your User Content; your use of the Services; your violation of these Terms; your violation of applicable law; your infringement or misappropriation of any rights of another person or entity; or hiring or employment decisions made using the Services.
22. Export, Sanctions, and Compliance
You may not use the Services in violation of export control, sanctions, anti-corruption, anti-bribery, or other applicable laws. You represent that you are not prohibited from using the Services under applicable law.
23. Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we may provide notice by posting updated Terms, updating the date above, or by other reasonable means. By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of [Insert Governing Law Jurisdiction], without regard to conflict of laws principles.
