Welcome to NexeraHR ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our AI-powered recruitment platform, website, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using NexeraHR, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

NexeraHR provides an AI-driven recruitment platform that includes:

  • AI-Powered Matching: Algorithms to match candidates with job opportunities.
  • AI Interviewing: Automated video and audio interview recording and analysis.
  • Talent Management: Tools for candidate screening, assessment, and onboarding.
  • Analytics: Insights into hiring processes and candidate performance.

3. User Accounts and Security

  • Registration: You must provide accurate and complete information when creating an account.
  • Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Unauthorized Use: You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Compliance with Laws

A. General Compliance

Users agree to comply with all applicable local, state, national, and international laws and regulations, including but not limited to employment laws, anti-discrimination laws, and data protection laws.

B. HIPAA Compliance (US Healthcare)

If you are a Covered Entity under the Health Insurance Portability and Accountability Act (HIPAA), you must enter into a Business Associate Agreement (BAA) with NexeraHR before providing any Protected Health Information (PHI) to the Services. NexeraHR will process PHI only in accordance with the BAA and applicable HIPAA regulations.

C. GDPR Compliance (EEA Users)

For users in the European Economic Area (EEA), NexeraHR acts as a Data Processor for candidate data provided by employers (the Data Controllers). Both parties agree to comply with the General Data Protection Regulation (GDPR) and enter into a Data Processing Agreement (DPA) where required.

5. AI Interviewing and Consent

  • Candidate Consent: Employers using NexeraHR's AI interview features are responsible for obtaining explicit, informed, and written consent from candidates before recording any audio or video interviews.
  • AI Transparency: Candidates must be informed that an AI tool is being used to evaluate their performance and that they have the right to request human review where required by law.
  • Recording Storage: AI interview recordings and transcripts will be stored and processed in accordance with our Privacy Policy.

6. Intellectual Property Rights

  • Our Content: All content, features, and functionality of the Services (including AI algorithms, software, and branding) are the exclusive property of NexeraHR and its licensors.
  • User Content: You retain ownership of any data or content you upload to the Services. By uploading content, you grant NexeraHR a non-exclusive, worldwide, royalty-free license to use, host, and process your content solely for the purpose of providing the Services.

7. Prohibited Conduct

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Services.
  • Use the Services to discriminate against candidates based on protected characteristics.
  • Interfere with or disrupt the integrity or performance of the Services.

8. Limitation of Liability

To the maximum extent permitted by law, NexeraHR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

9. Indemnification

You agree to indemnify and hold harmless NexeraHR and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in [Insert City, State].
